Selected Case Studies from Our Work

Over the years, we have assisted investors and families with a range of share-related matters — from lost certificates and name mismatches to transmission and IEPF recovery. Every case is different. Here are a few examples of the situations we have encountered and how they were addressed.

Resolving a Major Name Mismatch in Share Records

Situation

A client approached us to regularize his shareholding. During our document review, we noticed that the name recorded with the Registrar and Transfer Agent (RTA) was significantly different from the name appearing on his identity documents.

Challenge

The variation was not a minor spelling difference but a substantial mismatch. During scrutiny, the RTA raised an objection and requested an affidavit explaining the discrepancy along with identity proof.

Our Approach

Based on the nature of the mismatch, we anticipated that additional supporting evidence could be required and recommended completing the Gazette notification process at the outset.

Result

Once the Gazette publication and supporting documents were submitted, the RTA accepted the explanation and the case proceeded smoothly without multiple rounds of objections.

Discovering Additional Shares in IEPF

Situation

A client approached us with a single physical share certificate of a prominent company. The shares in that folio had substantial shareholding.

Challenge

The client believed this was the only holding and was unaware of the corporate actions taken by the company over the years.

Our Approach

During our review, we conducted additional checks to understand the complete investment history. This revealed additional shares linked to the investor's holding that had been transferred to the Investor Education and Protection Fund (IEPF) — shares the investor was previously unaware of.

Result

Along with the shares the investor originally approached us for, he also recovered the additional shares identified during our review, together with the related accumulated dividends and benefits.

Resolving an EVR Discrepancy in an IEPF Claim

Situation

A client with a large portfolio of physical shares approached us to recover shares that had been transferred to the Investor Education and Protection Fund Authority.

Challenge

During the claim process, a discrepancy was identified in the Entitlement Verification Report (EVR), preventing the claim from progressing further.

Our Approach

Our team coordinated with the concerned departments to identify the discrepancy, facilitate the necessary correction, and follow up on the claim until it moved to the next stage.

Result

Following the correction, the Service Request Number (SRN) was approved within a week, allowing the claim to proceed for further processing with the IEPF Authority. The shares were subsequently approved and credited to the client's demat account.

Recovering Shareholding When the Original Certificates Were Lost

Situation

A shareholder approached us after misplacing the original share certificates. The only document available was an old dividend warrant received from the company.

Challenge

Without the original certificates, the shareholding had to be verified and reconstructed through company records before initiating the duplicate certificate process.

Our Approach

We verified the shareholder details with the RTA, completed the KYC requirements, and structured the necessary affidavits and indemnity documentation for issuing duplicate share certificates.

Result

Following completion of the required process, the RTA issued a Letter of Confirmation, enabling the investor to proceed with dematerialization of the holding.

Coordinating a Succession Process for an NRI Family

Situation

An NRI client based in Canada approached us for assistance in transmitting shares after the shareholder's demise. The legal heirs were spread across three countries — Canada, India, and Australia.

Challenge

Given the value and structure of certain holdings, additional succession documentation was required, making the process more complex.

Our Approach

We planned the documentation process, coordinated with legal professionals, and advised the family to execute a Power of Attorney in favour of the sibling residing in India so that the legal process could proceed without delays.

Result

With proper planning and coordination, the succession certificate process was completed and the transmission of shares progressed smoothly.

Turning a Documentation Roadblock into a Successful Transmission

Situation

A transmission request was submitted with the complete set of documents and annexures to the Registrar and Transfer Agent.

Challenge

During scrutiny, the RTA asked for a Legal Heir Certificate. The claimant was based in Mumbai, where such certificates are generally not issued in the same manner as in some other states.

Our Approach

After reviewing the RTA's requirement and the claimant's circumstances, we coordinated an alternative set of supporting documents to establish the family relationship.

Result

The revised documentation was accepted by the RTA and the transmission process moved forward.
